License Agreement

By purchasing, downloading, or otherwise utilizing any products, materials, or services provided by Shadcnblocks.com, including but not limited to components, blocks, templates and source code (“Components”), you (“Licensee”) acknowledge and agree to be legally bound by the terms and conditions set forth in this License Agreement.

License

This License provides a non-exclusive, non-transferable, worldwide license to use, modify, and distribute the Components as described in this agreement.

Permitted Uses

The Licensee may:

Use the Components to develop unlimited end products for unlimited Clients.
Modify the Components to create derivative works for personal or commercial use.
Distribute the Components as part of a larger end product that is not a direct competitor to the original Components.
Sell end products that include the Components, provided the Components are not the primary value of the product.

Restrictions

The Licensee may not:

Resell or distribute the Components as standalone items.
Offer the Components in a website builder, marketplace or AI generator type app.
Use the Components to create a product that competes directly with the original Component Library.
Share or distribute the Components in a way that allows others to use them without obtaining their own license.
Use, upload, or distribute the Components within marketplaces, AI site builders, or automated component generation tools.

Examples

You may:

Develop a personal website or application for yourself using the Components.
Create custom websites or applications for clients, where the end product is owned by the client.
Use the Components in websites and web applications where the primary purpose is not to sell our re-distribute the components themselves.
Use the components in good faith and for a legitimate purpose.

You may not:

Publish the Components or their derivatives online, making them available for public use.
Create a site builder and make our Components available to use within that environemnt.
Create an AI generator/prompt style app and make our Components available to use within that environemnt.
Construct a UI framework or library using the Components and offer it for sale or distribution.
Create design kits or resources (e.g., Figma, Sketch) based on the Components and distribute them.
Develop a website builder or any tool that allows end users to create their own works using the Components.
Produce themes, templates, or starter kits that incorporate the Components and make them available for sale or free distribution.
Incorporate the Components into any website builder, ai builder, site builder or similar tool that allows end users to build their own websites or applications using the Components or their derivatives.

(“Client”) and (“Clients”) is an individual or organization that contracts or commissions the Licensee to develop an end product using the Components. The Client owns the end product created for them.

Enforcement & Liabilities

License Revocation

Shadcnblocks.com reserves the right to revoke, suspend, or terminate any license immediately upon breach of this agreement. Breaches include, but are not limited to, unauthorized redistribution, resale, sublicensing, or integration of Shadcnblocks.com components beyond the scope of the purchased license. Upon revocation, the licensee must cease all use of the components and destroy all copies, including derivatives or modified versions.

Legal Remedies

Shadcnblocks.com retains the right to pursue all legal and equitable remedies available under applicable law to protect its intellectual property. This includes seeking injunctive relief, recovery of damages, legal fees, and costs related to investigation and enforcement. No waiver or delay in enforcement shall constitute a waiver of any right under this agreement.

Financial Liability

Each individual breach of this license constitutes a separate violation. Licensees agree to be financially liable to Shadcnblocks.com in the amount of USD $8,000 per individual breach, in addition to any other damages or remedies available under law (such as statutory copyright infringement damages). This amount applies per instance of unauthorized use, redistribution, sublicensing, or access beyond the scope of the license.

Marketplace, AI & Site Builder Enforcement

The use of Shadcnblocks.com copyrighted materials within marketplaces, AI site builders, or any automated component generation tools is strictly prohibited.

If you operate a marketplace, AI builder, or similar platform, it is your responsibility to ensure that copyright materials from Shadcnblocks.com are not used, uploaded, or distributed in your system.

Examples of Common Breaches Include:

Allowing, paying, or incentivizing users to upload components that include or derive from Shadcnblocks.com materials without proper copyright auditing.
Hosting or distributing components that have been directly or indirectly generated, trained, or derived from our source code, whether partial or full.
Using our components or source code in “templates” from which users can modify with AI or other tooling.
Using our components or source code as reference material to generate your own components, models, or libraries.
Using our components or derivatives within any of the following contexts:
- Chatbots or conversational AI systems
- Website or page builders
- Design tools or Figma plugins
- Code editors or low-code tools
- Design systems or UI marketplaces

Strict Liability

Operators of such platforms are strictly liable for ensuring copyright compliance. There is no safe harbor for claiming exemption based on user-generated content. By hosting or allowing uploads, you assume full responsibility for verifying the copyright status of all materials used or distributed through your platform.

Financial Liability

An individual breach may occur each time:

Copyrighted material is added to your platform,
Your end-users preview, download, clone, generate, or permute content derived from our copyrighted code, or
A generation event in your AI system reproduces or relies on our materials.
