License Agreement

This License Agreement applies to paid licenses for the components, blocks, templates, source code, and other products provided by Shadcnblocks.com (“Components”). By purchasing a license, you (“Licensee”) agree to be legally bound by this License Agreement. Anyone who downloads, accesses, or uses Components under a purchased license, including the Licensee’s Employees and Contractors, is also bound by it.

Anyone who does not hold a purchased license is not a Licensee and has no rights under this License Agreement. Access to the website, the shadcn registry, and free blocks without a purchased license is governed solely by our Terms & Conditions.

Definitions

  • Components: The full catalog of digital assets provided by Shadcnblocks.com, including blocks, components, templates, design files, developer tooling, and all other source code or design deliverables included in your plan.
  • End Product: A website, application, or piece of software that incorporates or is built with Components. For example, a SaaS platform, internal tool, marketing site, or client project.
  • End User: Any person who uses or interacts with an End Product. There is no limit on the number of End Users.
  • Client: An individual, customer or company receiving a customized End Product from the Licensee.
  • Licensee: The person or organization that holds the purchased license.
  • Employee: A full-time or part-time employee of the Licensee.
  • Contractor: Any third-party individual or agency engaged by the Licensee to build End Products on behalf of the Licensee.
  • Derivative: Any work that reproduces a substantial part of a Component, including its code, structure, layout, default content, or images, in any form. A work is a Derivative whether the reproduction is exact or altered, and whether the alteration was made by hand or through automated or AI-assisted transformation, restyling, renaming, or reformatting.

License

This License provides a non-exclusive, non-transferable, worldwide license to use, modify, and distribute the Components as described in this agreement. The terms below apply equally to the Standard and Team licenses. The license types differ only in how access is managed and the number of permitted users, not in what you are permitted to build.

Permitted Uses

The Licensee may:

  • Use the Components to build unlimited End Products for themselves, their company, or their Clients.
  • Modify the Components and incorporate them into End Products for personal or commercial use.
  • Sell End Products that include the Components, provided the Components are not the primary value of the product.

Restrictions

The Licensee may not:

  • Resell or redistribute the Components or Derivatives separate from an End Product.
  • Use the Components to create a product that directly competes with Shadcnblocks.com or the original Components.
  • Share or distribute the Components outside the scope of your license type.

Examples

Examples of permitted uses:

  • Develop a personal website for the Licensee.
  • Create custom websites or applications for Clients, where the End Product is owned by the Client.
  • Build a paid SaaS application (e.g., project management tool, CRM, booking platform) where End Users subscribe or pay to use the application.
  • Develop a self-hosted web application sold to End Users as a one-time purchase.

Examples of restrictions:

  • Publishing the Components or Derivatives in a public repository.
  • Building a UI library using Components and distributing it, for sale or for free.
  • Creating Figma, Sketch, or other design kits based on Components and distributing them, for sale or for free.
  • Producing themes, templates, or starter kits using Components and distributing them, for sale or for free.
  • Creating a “website builder” that allows End Users to create their own websites using Components.
  • Creating an AI generator trained on Components, or incorporating Components into a tool that allows End Users to generate websites or applications.
  • Publishing Components or Derivatives on marketplaces like Themeforest or 21st.dev.
  • Rewriting, restyling, or passing Components through an AI tool and distributing the result as a new library, kit, or catalog. The result is a Derivative.

The above examples are illustrative and not exhaustive.

License Types

Shadcnblocks.com offers two license types: Standard and Team. Both types inherit the full set of permitted uses, restrictions, and obligations described above. The difference between them is how access is managed and the number of users permitted.

Standard License

Intended for individuals, freelancers, and solo developers.

  • The Standard license is held by one individual, who is the Licensee. Only the Licensee may access and use the Components.

Team License

Intended for teams and agencies.

  • The Team license grants permission for up to 10 Employees and Contractors of the Licensee to access and use the Components.

Enforcement

If you breach this license, Shadcnblocks.com may suspend or terminate your license and access to its services. We will give you notice and, where the breach can be fixed, a reasonable opportunity to fix it, except where the breach is deliberate or repeated, or involves redistributing Components. Any refund or credit following a breach is at Shadcnblocks.com’s sole discretion and is unlikely where the conduct is deliberate or abusive.

Termination ends your right to access and download Components and to start new End Products with them. End Products completed before termination may continue to use the Components already incorporated in them, so long as that use complies with the rest of this license.

All Components remain the copyrighted property of Shadcnblocks.com. This agreement grants only the permissions described above—all other rights are reserved. Shadcnblocks.com reserves the right to pursue legal remedies for any unauthorized use of the Components outside the scope of this license.

Free Blocks, Site Use & Platforms

Free blocks, access to the website and shadcn registry, scraping, directories, and marketplace or platform operators are covered by our Terms & Conditions, which apply to everyone, whether or not they hold a license. Holding a license does not permit anything the Terms & Conditions prohibit, such as distributing Components through a marketplace, AI site builder, or other platform.

Warranty Disclaimer

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in this agreement excludes, restricts, or modifies any right or remedy you have under that law or any other law that cannot be excluded by agreement.

Subject to that, and to the maximum extent permitted by law, the Components are provided “as is” and “as available” without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Shadcnblocks.com does not warrant that the Components will be error-free, uninterrupted, or free of harmful elements.

Limitation of Liability

Where a guarantee under the Australian Consumer Law applies and the Components are not of a kind ordinarily acquired for personal, domestic, or household use, Shadcnblocks.com’s liability for a failure to comply with that guarantee is limited, at our option, to resupplying the Components or paying the cost of resupply, or refunding the price you paid.

Subject to that, and to the maximum extent permitted by law, Shadcnblocks.com is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, arising from your use of or inability to use the Components, even if Shadcnblocks.com has been advised of the possibility of such damages. To the maximum extent permitted by law, our total liability to you under or in connection with this agreement is limited to the amount you paid for your license.

General

Severability

If any provision of this agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Notices

Notice to Shadcnblocks.com must be sent to support@shadcnblocks.com. Notice to you may be given to the email address on your account, or to any email address, contact form, abuse or DMCA contact, domain registrant contact, or hosting provider associated with the website or service on which the Components appear. Notice is effective when sent, whether or not it is received, read, filtered as spam, or rejected, and whether or not the contact details you supplied are accurate. You are responsible for keeping the email address on your account working and monitored. A notice given to a hosting provider, content delivery network, or registrar is effective against you whether or not they forward it.

Governing Law

This agreement is governed by the laws of Queensland and the Commonwealth of Australia. Each party submits to the non-exclusive jurisdiction of the courts of Queensland and the Federal Court of Australia. Nothing in this clause prevents Shadcnblocks.com from bringing a claim for infringement of copyright, or for related relief, in any court that has jurisdiction over the infringer or the infringing copies, including the courts of the country where the infringer is located or where the infringing content is hosted.

Entire Agreement

This License Agreement, together with our Terms & Conditions, constitutes the entire agreement between the Licensee and Shadcnblocks.com with respect to the Components and supersedes all prior or contemporaneous communications, whether written or oral.
